OFFICE OF SECRETARY OF STATE, TOPEKA, KAN. Gentlemen-I invite your attention to the matter of making the annual report of your corporation to this office for the year ending June 30, 1903. Herewith I inclose a blank form upon which this report should be made, and you will greatly oblige me and facilitate the transaction of the business of this office by sending in the report without unnecessary delay. The importance of making this report should not be overlooked, and I invite your attention to the acts of the Legislature providing penalties for failure to comply with the provisions of this law (see chapter 125, section 3, Laws of 1901): EXTRACT: "The failure of any such [Kansas] corporation to file statement provided for within ninety days from the time provided for filing the same shall work a forfeiture of the charter of any corporation organized under the laws of this State, and the Charter Board may at any time thereafter declare the charter of such corporation forfeited, and upon the declaration of any such forfeiture it shall be the duty of the AttorneyGeneral to apply to the district court of the proper county for the appointment of a receiver to close out the business of such corporation; and such failure to file such statement by any corporation doing business in this State and not organized under the laws of this State shall work a forfeiture of its right or authority to do business in this State, and the Charter Board may at any time declare such forfeiture, and shall forthwith publish such declaration in the official State paper." Nor can a corporation maintain an action in court or collect an account by law unless it has complied with this provision of the statutes.
